HNA Comments on Statement by Alfredo Fernandez, Oceanwood Representative and Chairman of NH Hotel Board of Directors

HNA Group (“HNA”) today issued the following statement:

HNA understands that Alfredo Fernandez, a representative of Christopher Gate’s and Julian Garcia Woods’s Oceanwood Capital and Chairman of the NH Hotel Group (“NH Hotel”) Board of Directors, has misrepresented to the full NH Hotel Board that he maintains a regular dialogue with HNA Hospitality Group Chairman and CEO Bai Haibo.

HNA wishes to make clear that no director, employee, or agent of HNA has engaged in any form of communication with Mr. Fernandez, Mr. Gate, Mr. Garcia Woods, or any other representative of Oceanwood Capital subsequent to the 21 June 2016 NH Hotel General Meeting of Shareholders.

The legitimacy of the Board depends on the integrity of information exchanged by its directors, and each has a duty to be truthful with their fellow directors and the shareholders they represent. HNA’s former Board representatives at all times discharged their duties in a manner consistent with this principle, and HNA expects NH Hotel’s current directors to do the same.
