MF Global Files IPO Registration Statement
MF Global Ltd. (currently operating through Man Financial Ltd, Man
Financial Inc. and other subsidiaries of Man Group plc) today filed a
registration statement on Form F-1 with the U.S. Securities and
Exchange Commission (SEC) for the initial public offering of its
common shares.
All shares will be sold by MF Global's parent, Man Group plc
(LSE:EMG), which on March 30, 2007, announced its intention to
separate Man Financial, its brokerage business, through an initial
public offering on the New York Stock Exchange. Man Financial will be
renamed MF Global upon completion of the separation and IPO.
Citigroup, JPMorgan, Lehman Brothers, Merrill Lynch & Co and UBS
Investment Bank will act as joint book-running managers of the
offering. Lazard is acting as a financial advisor to Man Financial in
the matter.
A registration statement relating to these securities has been
filed with the SEC but has not yet become effective. These securities
may not be sold nor may offers to buy be accepted prior to the time
the registration statement becomes effective. This press release shall
not constitute an offer to sell or the solicitation of any offer to
buy, nor shall there be any sale of these securities in any state in
which such offer, solicitation or sale would be unlawful prior to
registration or qualification under the securities laws of such state.
