12th Annual General Meeting of Shareholders of Clariant Ltd



    The shareholders of Clariant Ltd (SWX:CLN), Muttenz/ Switzerland,
    have taken note of the 2006 business results at the Company's 12th
    Annual General Meeting of Shareholders in Basel and voted by
    overwhelming majorities in favor of all resolutions proposed by the
    Board of Directors. They granted, among other things, discharge to the
    Board of Directors and the Board of Management and approved, instead
    of payment of a dividend, a repayment of the nominal value of CHF 0.25
    of each registered share. The share capital of CHF 1,035,720,000 will
    therefore be reduced by CHF 57,540,000 to CHF 978,180,000, and the
    nominal value of each registered share will be reduced from CHF 4.50
    by CHF 0.25 to CHF 4.25. The amount of CHF 0.25 in place of a dividend
    is expected to be paid to the shareholders in cash by June 2007 after
    expiration of the legally prescribed notice to obligees. The available
    earnings to be carried forward of CHF 63,163,567 will be appropriated
    to the free reserves.

    Tony Reis, Member of the Board of Directors since 1999, was
    reelected for a term of office of two years. Dr. Rudolf Wehrli and Dr.
    Jurg Witmer, both Swiss citizens, were newly elected for terms of
    office of four years. Dr. Wehrli, born in 1949, is former CEO of
    Gurit-Heberlein AG. He is President of the Board of SF Chem and
    President of the Swiss Society of Chemical Industries SGCI as well as
    Board member of several other companies. Dr. Witmer, born in 1948, was
    CEO of Givaudan SA until 2005 and is now President of the Board of
    Directors. Among others, he is member of the Board of Directors of
    Syngenta AG.
